1. ACCEPTANCE OF TERMS

By downloading, installing, or using Groove (the "App"), you agree to be bound by this End User License Agreement ("Agreement"). If you do not agree to these terms, do not use the App. This App is intended for users who are 18 years of age or older. By using the App you confirm that you are at least 18 years old.

2. ABOUT GROOVE

Groove is a mobile event discovery and ticketing platform designed to help users find and attend LGBTQ+ events and connect with queer community spaces and organizers in New York City and, in the future, across the United States. Groove is operated by Find Your Groove LLC ("Company," "we," "us," or "our").

3. LICENSE GRANT

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App on your personal iOS device solely for your personal, non-commercial use.

4. USER ACCOUNTS

To access certain features of the App you must create an account. You agree to provide accurate and complete information when creating your account and to keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at info@groovetheapp.com if you suspect unauthorized use of your account.

5. USER-GENERATED CONTENT

5.1 Organizer Content Event organizers who create profiles and list events on Groove ("Organizers") are solely responsible for the accuracy, legality, and appropriateness of all content they submit, including event listings, descriptions, images, and ticketing information ("Organizer Content").

5.2 Content Standards All users agree that content submitted to Groove must not:

• Be false, misleading, or fraudulent

• Be obscene, offensive, hateful, or discriminatory

• Harass, threaten, or abuse any individual or group

• Violate any applicable law or regulation

• Infringe on the intellectual property rights of any third party

• Contain malware, spam, or unauthorized advertising

• Sexualize minors in any way

5.3 Zero Tolerance Policy Groove has a zero tolerance policy for objectionable content and abusive behavior. We reserve the right to remove any content and suspend or terminate any account that violates these standards at our sole discretion.

5.4 Content Moderation Groove provides mechanisms for users to flag and report objectionable content and to block or hide organizers whose content they do not wish to see. We commit to reviewing all reported content within 24 hours and taking appropriate action, which may include content removal and account termination.

5.5 License to Content By submitting content to Groove, you grant Find Your Groove LLC a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content within the App and in connection with promoting the App.

6. TICKETING AND PAYMENTS

6.1 Payment Processing All payment transactions conducted through Groove are processed by Stripe, Inc., a third-party payment processor. By making a purchase through the App you agree to Stripe's terms of service and privacy policy in addition to this Agreement. Find Your Groove LLC does not store your payment card information.

6.2 Organizer Responsibility Organizers are solely responsible for the accuracy of their event listings, including dates, times, locations, pricing, and descriptions. Find Your Groove LLC is not responsible for canceled, postponed, or misrepresented events.

6.3 Refunds and Cancellations

​

All ticket sales are final. Find Your Groove LLC does not process or issue refunds for ticket purchases.

In the event that an Organizer cancels an event, the Organizer is required to issue full refunds to all ticket holders. Find Your Groove LLC reserves the right to intervene and issue refunds on behalf of the Organizer, at the Organizer's expense, if the Organizer fails to do so within a reasonable timeframe.

Refund policies for postponed or rescheduled events are set at the Organizer's discretion and will be clearly communicated to ticket holders by the Organizer.

Find Your Groove LLC reserves the right to issue refunds where required by applicable federal, state, or local law, or where required by Stripe's payment dispute resolution process in cases of confirmed fraudulent transactions.

6.4 Service Fees Groove charges a standard service fee on ticket purchases made through the App. This fee is displayed at checkout prior to completing any transaction.

7. PROHIBITED CONDUCT

You agree not to:

• Use the App for any unlawful purpose

• Impersonate any person or entity

• Attempt to gain unauthorized access to any part of the App or its infrastructure

• Scrape, crawl, or harvest data from the App without our written permission

• Use the App to transmit spam or unsolicited communications

• Interfere with or disrupt the App or its servers

• Reverse engineer or attempt to extract the source code of the App

8. INTELLECTUAL PROPERTY

All content, design, graphics, logos, and technology within the App are the property of Find Your Groove LLC or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any part of the App without our express written permission.

9. PRIVACY

Your use of the App is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. By using the App you consent to the collection and use of your information as described in the Privacy Policy. Please review our Privacy Policy at groovetheapp.com/privacy-policy.

10. DISCLAIMERS

The App is provided "as is" and "as available" without warranties of any kind, either express or implied. Find Your Groove LLC does not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components. We do not endorse, verify, or guarantee any event listed on the App by third-party Organizers.

​

11. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Find Your Groove LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the App, including but not limited to damages for lost profits, lost data, or personal injury, even if we have been advised of the possibility of such damages. Our total liability to you for any claims arising under this Agreement shall not exceed the amount you paid to us in the twelve months preceding the claim.

12. INDEMNIFICATION

You agree to indemnify and hold harmless Find Your Groove LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses including reasonable attorneys' fees arising out of your use of the App, your violation of this Agreement, or your violation of any rights of another party.

13. TERMINATION

We reserve the right to suspend or terminate your account and access to the App at any time, with or without notice, for conduct that we determine violates this Agreement or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

​

14. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in New York County, New York.

15. CHANGES TO THIS AGREEMENT

We reserve the right to modify this Agreement at any time. We will notify users of material changes through the App or via email. Your continued use of the App following notification of changes constitutes your acceptance of the revised Agreement.
