These Terms of Use (“Terms”) govern your access to and use of the Groove mobile application, website, and related services (collectively, the “App”) operated by Find Your Groove LLC, a New York limited liability company (“Groove,” “we,” “our,” or “us”).

By downloading, installing, creating an account, or using the App, you agree to be bound by these Terms and our [Privacy Notice]. If you do not agree, you may not use the App.

BY USING THE GROOVE APP, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO THESE TERMS OF USE.

1. Scope and Applicability

These Terms apply to all users worldwide, including:

  • Individual Users who browse, RSVP, and purchase tickets, and

  • Organizers who list events and sell tickets.

If you use the App on behalf of an organization, you represent that you have authority to bind that entity to these Terms.

 

2. Eligibility and Account Registration

  • You must be at least the age of majority in your country of residence (or have parental consent where legally required).

  • To create an account, you must provide accurate information, including your email, password, name, and username.

  • You are responsible for maintaining the confidentiality of your credentials and for all activities on your account.

 

3. Services

  • Individuals may browse and purchase tickets, RSVP to events, and manage profiles.

  • Organizers may create event listings, manage ticketing through Stripe, and access attendee names and aggregated demographic data.

  • Ticket payments are processed by Stripe; Groove does not store payment card information. Your use of Stripe is subject to Stripe’s own terms and privacy policy.

 

4. User Content & Conduct

  • You retain ownership of content you upload (event descriptions, images, etc.), but grant Groove a worldwide, non-exclusive, royalty-free license to host, display, and distribute that content solely to operate and promote the App.

  • You may not upload or transmit content that is unlawful, defamatory, hateful, infringing, harassing, or otherwise violates any law or third-party rights.

  • Groove may remove content or suspend accounts at our discretion if these Terms are violated.

 

5. Privacy

Your use of the App is also governed by our Privacy Notice, which explains how we collect, use, and share information across borders, including transfers to the United States. By using the App, you consent to those practices.

 

6. Intellectual Property

  • The App, along with all related trademarks, logos, and software, is owned by Groove or its licensors. Except for the limited rights expressly granted in these Terms, users acquire no ownership or license rights in any of Groove’s intellectual property.

  • We grant you a limited, revocable, non-transferable license to use the App on your personal devices in accordance with these Terms.

  • Feedback or suggestions you provide may be used by us without compensation.

 

7. Disclaimers & Limitation of Liability

  • The App is provided “as is” and “as available,” without warranties of any kind.

  • To the maximum extent allowed by law, Groove and its affiliates will not be liable for indirect, incidental, consequential, or punitive damages, even if we were advised of the possibility.

  • Our total liability to you for any claim will not exceed the greater of (i) USD 100 or (ii) the amount you paid to us in the twelve months preceding the claim.

 

8. Indemnification

You agree to indemnify and hold harmless Groove, its officers, employees, and agents from any claim, loss, or expense arising from (a) your use of the App, (b) your violation of these Terms, or (c) your infringement of third-party rights.

 

9. Termination

You may delete your account at any time. Groove may suspend or terminate your access if you breach these Terms or for any reason upon reasonable notice. Sections that by their nature survive termination (e.g., Intellectual Property, Limitation of Liability) will continue to apply.

 

10. International Users

Groove is headquartered in New York, USA. We welcome users globally, but you are responsible for ensuring that your use of the App complies with local laws where you live or access the App. If local laws prohibit certain activities (for example, ticket sales or event types), you must not use the App for those activities.

 

11. Governing Law and Jurisdiction

  • These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to conflict-of-law principles.

  • You and Groove agree to submit to the exclusive jurisdiction of the state and federal courts located in New York County, New York, USA for any dispute arising out of or relating to these Terms or your use of the App, unless prohibited by mandatory consumer-protection laws of your country of residence.

  • If you reside in a jurisdiction that requires a different forum or provides non-waivable consumer rights, this clause shall not deprive you of those mandatory protections.

 

12. Modifications

We may update these Terms from time to time. Material changes will be notified via the App or by email. Continued use of the App after changes become effective constitutes acceptance of the updated Terms.

 

13. Miscellaneous

  • These Terms and the Privacy Notice form the entire agreement between you and Groove.

  • If any provision is held invalid, the remainder remains in effect.

  • Groove may assign these Terms in connection with a merger or sale of assets; you may not assign them without our prior written consent.

  • Our failure to enforce any provision is not a waiver of our rights.
